Terms of Service

These terms govern your use of PassagePlan Pro, decision-support software for the IMO Resolution A.893(21) appraisal phase, operated by Sharp Digital Solutions Ltd ("we", "us", "our", "Sharp Digital Solutions Ltd"). By creating an account or using the Service, you ("you", "the User") agree to these terms ("this Agreement").
Definitions
In this Agreement, the following terms have the meanings set out below. Capitalised terms used elsewhere in this Agreement shall be construed accordingly.
- "Master" means the master, captain, or person in charge of a vessel, or any officer to whom navigational responsibility has been delegated.
- "Authoritative Sources" means official navigation publications, charts, and notices issued or sanctioned by a national hydrographic office, including but not limited to ENCs, ADMIRALTY products, NOAA charts and tide tables, and equivalent national publications.
- "Output" means any passage plan, route, waypoint list, tidal prediction, weather summary, hazard alert, document, file, or other content produced by or displayed within the Service.
- "Professional User" means any user accessing the Service in the course of a business or in connection with the operation of a commercial or recreational vessel, including yacht crew, commercial mariners, fleet operators, and yacht management companies.
Navigation Disclaimer
PassagePlan Pro is decision-support software. It does not certify compliance with SOLAS, the ISM Code, STCW, or any other regulatory framework. It does not replace official nautical charts, ADMIRALTY publications, or the professional judgement of qualified navigators. The Master remains responsible for the appraisal phase and for the plan they sign. The Master and Officer of the Watch remain solely responsible for the safe navigation of the vessel at all times. Any Output the Service produces or aggregates — whether from public APIs, uploaded documents, or AI extraction — must be verified against Authoritative Sources before use. The formal terms of this obligation are set out in the clauses below, in particular Decision Support and Master's Responsibility, Data Verification Required, Disclaimer of Warranties, Limitation of Liability, and User Indemnity.
Service Description
PassagePlan Pro aggregates inputs the Master uses during the appraisal phase: the vessel's ECDIS route (.RTZ / .GPX), ADMIRALTY publications (manual entry today; ADP SDK on accreditation), tidal predictions from the ADMIRALTY Tidal Discovery API, weather forecasts from Open-Meteo, NAVAREA warnings from NGA Maritime Safety Information, port information, and pilotage and hazard data uploaded by the Officer of the Watch. The Service organises these inputs into a single workspace and produces a formatted document.
The Service is decision-support software only. It does not provide real-time navigation, does not replace ECDIS or official chart systems, does not certify compliance with any regulatory framework, and must not be relied upon as the sole source of navigational information. Every plan is subject to the Master's review, edit, and signature before it carries any operational weight.
Decision Support and Master's Responsibility
The Service is a decision-support tool. It is designed to assist the Master and qualified bridge personnel in the preparation, review, and execution of voyage plans. The Service does not make navigational decisions and is not a substitute for the professional judgment, training, certification, or statutory responsibilities of the Master.
The Master remains, at all times, solely responsible for:
- (a) the safety of the vessel, its crew, passengers, and cargo;
- (b) the appraisal, planning, execution, and monitoring of every voyage in accordance with applicable regulations including (where relevant) IMO Resolution A.893(21), the ISM Code, STCW, and SOLAS V Regulation 34;
- (c) the verification of all Output against Authoritative Sources prior to use;
- (d) the selection of safe routes, speeds, and contingencies; and
- (e) compliance with all applicable maritime laws, flag-state requirements, and port-state directives.
No use of the Service relieves the Master, the vessel's owner, the vessel's operator, or any officer or crew member of any duty owed under maritime law, the ISM Code, the vessel's Safety Management System, or the vessel's flag-state requirements.
AI-extracted and AI-assisted content
Where the Service uses AI — principally to extract structured text from documents the Officer of the Watch uploads, and in Quick Draft mode to suggest content for itinerary discussion — that content may contain errors, inaccuracies, or outdated information. AI-derived fields are flagged in the plan with a Source pill of authority "AI" and the export carries a verify-required notice. The Master is responsible for verifying all AI-derived data against Authoritative Sources in accordance with Data Verification Required, below.
Plans created in Quick Draft mode cannot be Master-signed and are watermarked "NOT FOR NAVIGATION" on export. Compliance Plan mode disables AI research; AI is permitted only to extract text from OOW-uploaded documents.
Data Verification Required
The User acknowledges and agrees that:
- (a) the Service draws on a combination of public data sources, third-party APIs, and (where licensed) ADMIRALTY data, each of which may contain errors, omissions, latency, or be unavailable from time to time;
- (b) Output is produced from these inputs using algorithms, including artificial-intelligence-based components, which may produce results that are inaccurate, incomplete, or outdated;
- (c) all Output must be verified against Authoritative Sources before being relied upon for navigation, voyage execution, or any decision affecting the safety of a vessel, its crew, passengers, cargo, or the marine environment; and
- (d) the User shall not use Output as the sole basis for any navigational decision.
Without limiting the generality of the foregoing, the User specifically acknowledges that:
- (e) tidal predictions, current data, and tidal stream information displayed within the Service are predictions only and may differ from actual conditions; predictions must be cross-checked against the Master's nominated authoritative tidal source for the area;
- (f) weather data, wave height, and routing recommendations are forecasts and must be cross-checked against current meteorological broadcasts, weather routing services, and the Master's professional weather assessment;
- (g) chart layers (including OpenSeaMap and any other public chart sources) are visual aids only and are not a substitute for current paper or electronic navigational charts (ENCs) maintained in accordance with SOLAS V Regulation 19;
- (h) NAVAREA, local notices to mariners, port information, and hazard alerts within the Service may be incomplete or out of date; the Master must independently obtain the latest navigational warnings for any area of intended transit; and
- (i) any AI-generated narrative, summary, or recommendation is provided as a starting point only and reflects the limitations of the underlying language model, including the possibility of factual error or omission.
Disclaimer of Warranties
To the maximum extent permitted by law, the Service is provided on an "as is" and "as available" basis. Sharp Digital Solutions Ltd makes no warranties, express or implied, statutory or otherwise, in respect of the Service, including (without limitation) any warranty of:
- (a) merchantability or satisfactory quality;
- (b) fitness for any particular purpose, including fitness for use as an aid to navigation;
- (c) accuracy, completeness, currency, or reliability of any Output;
- (d) uninterrupted or error-free operation; or
- (e) compatibility with any specific vessel, equipment, software, regulatory regime, or flag-state requirement.
Where any warranty is implied by law and cannot lawfully be excluded, the warranty is limited to the minimum extent permitted by law.
Subscription Terms
Free Trial
New accounts receive a 14-day free trial with up to 5 plans generated using AI assistance. Trial exports include a watermark. No credit card is required to start a trial.
Billing
Subscriptions are billed monthly or annually. Prices are displayed on our pricing page and may be updated with 30 days' notice. All prices are in GBP and exclude VAT where applicable.
Cancellation
You may cancel your subscription at any time through your account settings. Access continues until the end of the current billing period. We do not provide refunds for partial billing periods. You may export your plan data before cancellation.
Acceptable Use
You may use PassagePlan Pro for legitimate maritime passage planning purposes only. You agree not to:
- Use the Service for any unlawful purpose
- Attempt to access other users' or companies' data
- Reverse-engineer, decompile, or extract source code from the platform
- Use automated tools to scrape or bulk-access the Service
- Resell or redistribute the Service without written agreement
Intellectual Property
Platform — PassagePlan Pro, including its design, code, AI models, and branding, is owned by Sharp Digital Solutions Ltd. All rights reserved.
Your data — you retain full ownership of your passage plan data, vessel information, and uploaded files. We claim no intellectual property rights over your content.
Limitation of Liability
Subject to Liabilities That Cannot Be Excluded below, and to the maximum extent permitted by law:
- (a) Sharp Digital Solutions Ltd's total aggregate liability to the User in respect of all claims arising out of or in connection with this Agreement or the use of the Service, whether in contract, tort (including negligence), breach of statutory duty, misrepresentation, or otherwise, shall not exceed the total fees paid by the User to Sharp Digital Solutions Ltd in the twelve (12) months immediately preceding the event giving rise to the claim, or £100, whichever is the greater;
- (b) Sharp Digital Solutions Ltd shall not be liable to the User for any:
- (i) loss of profits, revenue, anticipated savings, business opportunity, or goodwill;
- (ii) loss of, or damage to, data;
- (iii) loss arising from grounding, collision, allision, sinking, capsize, fire, pollution, salvage, general average, or any other marine casualty;
- (iv) loss arising from delay, deviation, or detention of any vessel;
- (v) loss arising from any decision made by a Master, officer, crew member, or charterer based on Output; or
- (vi) any indirect, special, or consequential loss,
The User acknowledges that the limitations in this clause are reasonable having regard to the price paid for the Service, the availability of insurance to cover marine risks, and the User's own professional responsibilities as a Master or operator.
Liabilities That Cannot Be Excluded
Nothing in this Agreement shall exclude or limit Sharp Digital Solutions Ltd's liability for:
- (a) death or personal injury caused by Sharp Digital Solutions Ltd's negligence;
- (b) fraud or fraudulent misrepresentation;
- (c) any other liability that cannot lawfully be excluded or limited under English law.
Where the User is a consumer (as defined in the Consumer Rights Act 2015), the User's statutory rights are unaffected by this Agreement.
User Indemnity
The User shall indemnify, defend, and hold harmless Sharp Digital Solutions Ltd, its directors, officers, employees, and agents from and against any and all claims, demands, actions, proceedings, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
- (a) the User's use of the Service in breach of this Agreement;
- (b) the User's reliance on Output without verification against Authoritative Sources, contrary to Data Verification Required above;
- (c) any navigational decision made by the User, the Master, or any person acting on the User's behalf;
- (d) any incident involving the User's vessel, including grounding, collision, allision, sinking, capsize, fire, pollution, salvage, general average, or other marine casualty, in each case whether or not Output was relied upon in connection with the incident;
- (e) any claim by a third party (including any crew member, passenger, charterer, cargo owner, insurer, or coastal authority) arising in connection with the User's use of the Service; and
- (f) the User's breach of any applicable maritime law, flag-state requirement, port-state directive, or licensing condition (including any condition imposed by the United Kingdom Hydrographic Office in respect of ADMIRALTY data accessed via the Service).
This indemnity shall survive termination of the Agreement.
Professional User Acknowledgement
Each Professional User represents and warrants that:
- (a) they hold all certifications, licences, and qualifications required by their flag state and applicable maritime law for the role they perform onboard;
- (b) they will use the Service only in connection with vessels for which they are properly authorised;
- (c) they understand the difference between decision-support software and authoritative navigation publications;
- (d) they are responsible for ensuring that the vessel's official paper or electronic charts, tide tables, and notices to mariners are kept up to date in accordance with applicable regulations; and
- (e) they will report any material inaccuracy, defect, or anomaly in the Service to Sharp Digital Solutions Ltd promptly upon discovery.
Account Termination
We reserve the right to suspend or terminate accounts that violate these terms, engage in fraudulent activity, or pose a security risk to the platform. We will provide reasonable notice where possible.
Changes to Terms
We may update these terms from time to time. Material changes will be communicated by email at least 30 days in advance. Continued use of the Service after changes take effect constitutes acceptance.
Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of England and Wales, and the parties submit to the exclusive jurisdiction of the courts of England and Wales.
